On acceptance of the above purchase, both parties agree to the following:
Third Square Cowork Ltd - Virtual Address Service Terms and Conditions
1. Introduction
These terms and conditions ("Agreement") govern the provision of a virtual address service ("Service") by Third Square Cowork Ltd ("Provider") to the client ("Client"). By using the Service, the Client agrees to be bound by these terms.
2. Scope of Service
2.4 The address will be provided in the following format:

2.1 The Provider grants the Client a non-exclusive, non-transferable right to use the designated address in Poole, UK, solely for receiving business correspondence.
2.2 The Service is limited to mail categorised as "Large Letter" or smaller, per Royal Mail's definitions. The Client may not use the address for parcels or oversized mail.
2.3 The virtual address is assigned to a single entity and may not be shared, sublicensed, or assigned without the Provider’s prior written consent.
3. Mail Handling and Access
3.0 The Provider endeavours to contact the person acting on behalf of the Client to alert them of any new mail that has arrived weekly via an electronic messaging service, such as email or SMS. The Client acknowledges that the Provider is not liable for any failure to receive such notifications due to technical issues or incorrect contact details provided by the Client.
3.1 The Client may access mail during the Provider’s published business hours, as listed on its website. Access is restricted to weekends unless otherwise agreed in writing.
3.2 Clients with a ‘Key Holder’ membership may be granted 24/7 access subject to a written agreement between both parties.
3.3 Mail will be securely stored for up to one calendar month from the date of receipt. Thereafter, uncollected mail will be securely destroyed.
3.4 The Provider does not open, read, scan, or forward mail under any circumstances.
4. Client Obligations
4.1 The Client is responsible for ensuring compliance with all applicable laws and regulations regarding the use of the virtual address.
4.2 The Client must not use the Service for any unlawful, fraudulent, or misleading activities, including but not limited to false advertising, illicit financial activities, or misrepresentation of business operations.
4.3 The Client must notify the Provider in writing of any changes to its business name, contact details, or other relevant information.
5. Limitations and Exclusions
5.1 The Service does not include registered office address usage unless expressly agreed in writing.
5.2 The Provider accepts no liability for loss, damage, delay, or misplacement of mail once received at the designated address.
5.3 The Provider reserves the right to reject or refuse any mail that exceeds permitted size restrictions or appears to be fraudulent, illegal, or otherwise in breach of this Agreement.
6. Termination
6.1 Either party may terminate this Agreement by providing one month's written notice.
6.2 The Provider reserves the right to terminate the Agreement with immediate effect if the Client breaches any provision of these terms or engages in activities that could bring the Provider into disrepute.
6.3 Upon termination, the Client must immediately cease using the virtual address and remove it from all public records, business registrations (including Companies House), marketing materials, and correspondence within 14 days.
Failure to comply may result in legal action or additional charges.
7. Liability and Indemnity
7.3 The Client shall be liable for any legal fees, penalties, or damages incurred by the Provider due to the Client’s misuse of the Service, including but not limited to enforcement actions, reputational harm, or costs arising from the address being blacklisted.
7.1 The Client shall indemnify and hold harmless the Provider against all claims, liabilities, damages, and expenses arising from the Client’s misuse of the Service, including but not limited to regulatory penalties, blacklisting, or any financial loss incurred by the Provider.
7.2 The Provider shall not be liable for any indirect, consequential, or incidental losses suffered by the Client as a result of the use or non-use of the Service.
8. Payment Terms
8.1 All fees must be paid in full before the commencement of the Service.
8.2 Payments are non-refundable unless otherwise agreed in writing.
8.3 Late or missed payments may result in immediate suspension or termination of the Service. The Provider reserves the right to charge interest on overdue amounts at a rate of 4% per annum above the Bank of England base rate, calculated daily until payment is received in full.
8.4 A receipt will be issued upon confirmation of payment.
8.5 By making a payment, the Client confirms acceptance of these terms.
8.6 The price of the goods or services supplied under this agreement shall be subject to an annual adjustment, applied once every 12 months, based on the percentage change in the UK Consumer Prices Index (CPI) as published by the Office for National Statistics, or a minimum fixed increase of 3%, whichever is higher. The Provider shall give the Client at least 30 days’ notice before any price adjustment takes effect.
9. General Provisions
9.1 This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or representations.
9.2 Any amendments to this Agreement must be made in writing and signed by both parties.
9.3 This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
